1.About Aegis

Aegis Resource Management, LLC provides professional consulting and property management services for multifamily communities, RV resorts, self-storage facilities, and manufactured housing communities, along with related services such as payroll administration, financial reporting, employee management, marketing, capital expenditure (CapEx) planning, and project management. Aegis may also provide marketing and bookkeeping services to other businesses (collectively, the "Services"). The Site is provided to give visitors information about Aegis and its Services and to facilitate inquiries and communication with Aegis.

2.Not an Offer or Service Agreement

The content on the Site is provided for general informational purposes only and does not constitute an offer to provide Services, a solicitation, or a binding agreement of any kind. No property management, consulting, or other professional relationship is formed between you and Aegis by virtue of visiting the Site, submitting an inquiry, or otherwise interacting with the Site. Any actual engagement for Services will be governed exclusively by a separate, signed written agreement between Aegis and the client, the terms of which will control over anything stated on the Site in the event of a conflict.

3.Eligibility and Acceptance

By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Site on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

4.Acceptable Use

When using the Site, you agree that you will not:

• Use the Site for any unlawful purpose or in violation of any applicable local, state, federal, or international law or regulation;
• Attempt to gain unauthorized access to the Site, other users' accounts, or any systems or networks connected to the Site;
• Introduce any virus, malware, or other harmful code, or interfere with the proper functioning of the Site;
• Scrape, data-mine, or use automated means to access or collect content from the Site without our prior written consent;
• Copy, reproduce, distribute, or create derivative works from the Site or its content except as expressly permitted by these Terms;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Submit false, misleading, or fraudulent information through any form, application, or communication on the Site.

5.Intellectual Property

The Site and all content on it — including text, graphics, logos, the Aegis name and marks, the tagline "Elevated Solutions | Protecting Investments," images, and the design, layout, and compilation of the Site — are owned by Aegis or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, display, or otherwise use any content from the Site without Aegis's prior written consent. You are granted a limited, non-exclusive, non-transferable, revocable license to view and use the Site for your own personal or internal business informational purposes.

6.User Submissions and Communications

If you submit information to Aegis through a contact form, inquiry form, email, or similar feature on the Site ("Submissions"), you represent that the information you provide is accurate and that you have the right to submit it. You grant Aegis the right to use Submissions to respond to your inquiry and for other legitimate business purposes consistent with our Privacy Policy. Do not submit confidential or proprietary information through the Site unless we have agreed in writing to receive and protect it under specific terms.

The Site may contain links to third-party websites or resources that are not owned or controlled by Aegis. THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AEGIS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE SITE IS CURRENT, COMPLETE, OR ACCURATE. NOTHING ON THE SITE CONSTITUTES LEGAL, FINANCIAL, TAX, OR INVESTMENT ADVICE, AND YOU SHOULD CONSULT YOUR OWN QUALIFIED ADVISORS BEFORE MAKING ANY DECISIONS BASED ON SITE CONTENT.

10.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AEGIS, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, EVEN IF AEGIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, AEGIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). THIS SECTION DOES NOT LIMIT LIABILITY ARISING UNDER A SEPARATE SIGNED SERVICES AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS.

11.Indemnification

You agree to indemnify, defend, and hold harmless Aegis and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

12.Termination and Access

Aegis reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to all or part of the Site, at any time and without notice, including for conduct that we believe violates these Terms or is otherwise harmful to Aegis, other users, or third parties.

13.Changes to These Terms

Aegis may revise these Terms from time to time. The updated version will be indicated by a revised "Effective Date" and will be effective as soon as it is posted to the Site. Your continued use of the Site after any revised Terms become effective constitutes your acceptance of the changes. We encourage you to review these Terms periodically.

14.Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Site shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Texas shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction and venue in those courts.

15.Dispute Resolution

Before filing a claim against Aegis relating to the Site, you agree to first contact us at the email address below and attempt in good faith to resolve the dispute informally.

16.Severability; Waiver; Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Aegis's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms, together with our Privacy Policy and any separately signed services agreement, constitute the entire agreement between you and Aegis regarding the Site and supersede all prior agreements and understandings regarding the Site.
